Filexa Public Offer

for digital services using artificial intelligence

Version dated 28 August 2026

Russian original. This English text is a translation for convenience. If the texts differ, the Russian original prevails to the extent permitted by mandatory law.

This document is a public offer under Article 437(2) of the Civil Code of the Russian Federation.

1. Provider and User

1.1. The Provider is Nikita Andreevich Andrianov, Russian taxpayer identification number 773001849734, an individual applying the Russian Professional Income Tax regime.

1.2. Contact and legally significant electronic communications: thismailnotbad@gmail.com. Official page: tnick.cc.

1.3. The User is a legally capable individual aged 18 or older buying for personal, family or other non-commercial needs.

2. Service and documents

2.1. Filexa is available through @FilexaAIBot and related interfaces (the Service).

2.2. Filexa processes text, files, images, audio and video and creates AI-assisted output using external models and API providers. The available function and its cost are shown before a paid operation.

2.3. This Offer, the User Agreement, Privacy Policy, Refund Policy, and the plan/package details shown before payment form the contract.

2.4. A special checkout term applies only if it does not reduce mandatory User rights.

3. Acceptance

3.1. The User accepts the paid Offer by choosing a plan or package, receiving access to this Offer and Refund Policy, expressly confirming acceptance and completing payment.

3.2. The contract is concluded when the payment provider confirms payment and the Service records it. Free use is governed by the User Agreement and is not acceptance of a paid purchase.

3.3. At every purchase or renewal, the Service records an immutable commercial snapshot: Offer version, plan, price, currency, term, allowance and renewal conditions.

4. Services and Lex

4.1. Filexa supplies a time-limited feature access plan, a monthly Lex allowance, a one-time additional Lex package, or another individual paid operation expressly shown in the interface.

4.2. Lex is an internal conditional digital accounting unit for a paid or granted amount of Filexa services. Lex is not currency, electronic money, a security, a digital financial asset or an independent payment instrument; it earns no interest and cannot be sold or transferred between users. Linking the same User’s accounts only grants access to one accounting profile and is not a Lex transfer. The Provider does not exchange Lex for money except when calculating a lawful refund against the original payment.

4.3. The Lex cost of an operation is shown before launch or is set by the published function catalog. A new cost applies only to operations started after it takes effect.

4.4. A failed operation that supplies no result due to a technical fault must not reduce the allowance. A temporary reservation is released after failure or expiry.

5. Plans, packages and prices

5.1. Regular prices from the current Billing catalog are:

| Plan | Monthly allowance | USD web price | Telegram Stars price |

| --- | ---: | --- | --- |

| FREE | 10 Lex | free | free |

| START | 200 Lex | USD 2.49/month or USD 24.99/year | 300/month or 3,000/year |

| PRO | 400 Lex | USD 4.99/month or USD 49.99/year | 600/month or 6,000/year |

| DIAMOND | 1,000 Lex | USD 12.49/month or USD 124.99/year | 1,500/month or 15,000/year |

5.2. The checkout controls the actual currency and final amount. Taxes, storefront pricing and conversion may differ; no fixed exchange rate is promised.

5.3. An unused monthly allowance does not roll over unless expressly stated before payment.

5.4. A User with an active paid plan may buy a one-time additional package: 100 Lex for RUB 299, USD 2.49, EUR 2.39 or 286 Telegram Stars; 500 Lex for RUB 1,299, USD 10.99, EUR 9.99 or 1,258 Telegram Stars. The actual currency, channel and final amount are displayed before payment; no fixed exchange rate between currencies or Telegram Stars is promised. Additional Lex does not expire merely because the subscription ends and remains until used or the account is deleted.

5.5. Free and bonus Lex may have a separate expiry and no cash value.

5.6. Price, period and allowance changes apply only to future purchases and renewals and do not reduce a purchased amount during its term.

5.7. Temporary promotions and promo codes have separate rules available before use. Promotional Lex has no cash value unless mandatory law or those rules state otherwise.

6. Shared Billing and linked accounts

6.1. Filexa may share Billing infrastructure with AI360 and other Provider products. Linking is voluntary and requires confirmation from both accounts.

6.2. Linking does not transfer, add or divide funds. Billing automatically selects one active financial profile by the effective plan and its priority rules; suppressed profiles are not fallback funding sources. Before confirmation, the interface explains the main consequences.

6.3. Linking or unlinking may be temporarily unavailable during an active reservation or conflicting financial state. Unlinking affects future operations only. It does not reverse completed work, restore spent Lex, cancel a subscription or move a balance from its home profile. The User must secure all linked accounts.

7. Payment, subscription and receipt

7.1. Ecosystem channels are Telegram Stars, Robokassa and Apple/Google purchases technically synchronised through RevenueCat. Digital Filexa services inside Telegram use Stars; Robokassa is a separate web channel; an App Store or Google Play app uses the applicable store method where required.

7.2. Each enabled channel may offer a one-time monthly or annual plan and one-time additional Lex on an active paid plan. Only a method actually displayed before payment is available; external payment links are not shown where platform rules prohibit them. Robokassa recurring is not enabled at this version, and RevenueCat is not User-facing until the purchase is displayed.

7.3. Recurring renewal applies only when clearly disclosed and separately confirmed. While a paid term is active, its channel owns the subscription: prepaid permits at most one future term through the same channel; a third term and another channel are blocked. Recurring renews only through its own lifecycle and blocks every new plan purchase, including a one-time purchase through the same channel. A different channel is available only after actual expiry and return to FREE.

7.3.1. Additional Lex is unavailable on FREE, is always one-time, and may be bought only through the current paid subscription's channel. It neither extends the term nor becomes recurring.

7.4. The Provider issues a Russian Professional Income Tax receipt where required. A payment-aggregator or Telegram receipt may be a separate document. The Provider does not receive a full card number, CVC/CVV or payment password.

7.5. An unconfirmed or duplicated payment notification does not create a second plan or Lex credit pending reconciliation. After confirmation, the Provider activates or restores the purchase, or refunds it if performance is impossible.

7.6. If a voluntary-support function is later displayed, that payment supports development and operation only. It buys no plan, Lex, operation or access and changes no account function. The channel and rules are shown before confirmation; mandatory tax and receipt duties remain.

8. When the service is performed

8.1. A plan or package is activated when it appears in the account and is available for use. This does not mean every future operation has already been performed.

8.2. An individual operation is performed when technical processing finishes and the result is delivered or made available.

8.3. Subscription access is performed continuously during the paid term by maintaining the promised functions, subject to reasonable maintenance and external limits.

8.4. Subjective dissatisfaction with a technically completed AI result is not by itself a defect. Mandatory remedies for an objective defect remain.

9. Refunds

The Refund Policy applies. Duplicate charges, missing paid access, an unresolved technical fault and an unused unperformed remainder are assessed under mandatory law, completed services and documented direct expenses. Blocking for a violation does not remove non-waivable rights.

10. Availability and liability

10.1. Filexa and AI output are supplied “as is” and “as available” to the maximum extent permitted by law. The Provider does not guarantee accuracy, uniqueness, fitness for a purpose or uninterrupted third-party services.

10.2. The Provider is not responsible for events outside reasonable control, including mandatory government restrictions or blocking and failures of Telegram, distribution platforms, hosting, communications, payment services or named AI/API providers. This does not remove obligations for a paid but unperformed part.

10.3. The User is responsible for lawful requests, materials and third-party rights. To the extent permitted by law, the User compensates documented losses directly caused by their violation. No clause excludes liability that cannot lawfully be excluded.

11. Changes

The Offer applies until replaced or withdrawn. The version accepted at payment applies to that paid term, except mandatory legal changes or changes benefiting the User. Material changes to a future recurring renewal are communicated before the next charge.

12. Complaints and law

Send requests to thismailnotbad@gmail.com with the Telegram/account ID, payment date and amount, payment and operation IDs, and a concise description. Never send full card details or passwords.

Russian law governs, subject to non-waivable consumer protections applicable in the User’s country of residence.
